Terms of Service

These Terms of Service ("Terms") govern your access to and use of PlaceMePal (the "Platform"), operated by Astrosia Technologies LLP ("Astrosia", "we", "us", or "our"), including placemepal.com and related services. By creating an account, browsing opportunities, applying, interviewing, or otherwise using the Platform, you agree to these Terms and our other published policies.

If you do not agree, do not use the Platform.

General notice. PlaceMePal is a marketplace operated by Astrosia Technologies LLP. Opportunities may be full-time or part-time; candidates engage as independent contractors unless company-direct. Tax compliance is each party's responsibility under applicable law.

1. Definitions

• Platform — PlaceMePal, a remote-first marketplace for sales and telecalling opportunities.
• Opportunity — A listing published on the Platform describing a sales, telecalling, or related role. Opportunities may be described as full-time, part-time, or otherwise; such labels describe expected engagement intensity only and do not create an employment relationship.
• Candidate / Contractor — A user who registers to browse and apply to opportunities.
• Empaneling Company — A corporate user or client company that publishes opportunities or engages candidates.
• Platform-managed opportunity — An opportunity where engagement is intermediated by Astrosia / PlaceMePal under the Protection Policy and Independent Contractor Agreement.
• Company-direct opportunity — An opportunity where Astrosia has enabled direct engagement between the Empaneling Company and the candidate; Platform protection does not apply.
• PromoteIt — Astrosia's intermediary operations brand used for deposits, payouts, and related commercial processes where applicable.

2. Nature of the service

PlaceMePal is a technology platform and marketplace. Astrosia provides listing, application, preparation, interview scheduling, and related intermediary services. We are not an employer, staffing agency, or guarantor of work, income, or outcomes for candidates, and we are not the primary contracting party for company-direct opportunities.

Commercial terms for premium listing, ranking, deposits, and volume arrangements are available separately via Contact Sales.

3. Independent contractor status

Unless an opportunity is expressly marked company-direct, candidates who apply and are engaged through platform-managed opportunities do so as independent contractors with PlaceMePal / Astrosia under the Independent Contractor Agreement accepted at onboarding — not as employees, partners, joint venturers, or agents of Astrosia or of any Empaneling Company.

An opportunity described as full-time, part-time, contract, commission-only, or similar is a description of expected availability or compensation structure only. It does not create employment, benefits entitlement, minimum wage guarantees, or any employer–employee relationship under the laws of India or any other jurisdiction.

4. Taxes and statutory compliance

Candidates and Empaneling Companies are solely responsible for their own tax, social security, professional, and regulatory obligations arising from any engagement, including but not limited to:

• Income tax, GST or VAT, TDS, professional tax, and similar levies under the laws of India, where applicable;
• Tax and compliance obligations under the laws of the Empaneling Company's jurisdiction or the candidate's jurisdiction, where applicable;
• Filing returns, maintaining records, and remitting amounts to authorities without reliance on Astrosia.

Astrosia does not provide tax, legal, or accounting advice. Any tax withheld or reported by Astrosia or PromoteIt, if applicable to a specific commercial arrangement, will be only as expressly agreed in writing for that arrangement and does not shift ultimate responsibility from the parties.

5. Accounts and eligibility

You must provide accurate, current information and keep your account secure. You must be legally able to enter binding contracts in your jurisdiction. We may verify identity, suspend, or terminate accounts that violate these Terms, applicable law, or Platform rules, with or without notice where permitted by law.

6. Browsing and applying to opportunities

Opportunity descriptions are published by Empaneling Companies or by Astrosia for managed programs. Astrosia does not warrant that descriptions are complete, current, or free from error. Applying does not guarantee selection, interview, offer, or engagement.

Candidates may hold at most two active applications at a time unless we change Platform rules. You are responsible for the accuracy of application materials, including resumes and declarations.

7. Preparation and interviews

Preparation materials and interview slots are provided for convenience. Astrosia does not guarantee interview outcomes, hiring decisions, or the conduct of third parties. No statement by Astrosia staff or automated systems constitutes a promise of employment or minimum earnings.

8. Engagements and company-direct opportunities

For platform-managed opportunities, contractual and protection terms are as set out in the Protection Policy and Independent Contractor Agreement. For company-direct opportunities, you engage primarily with the Empaneling Company; Astrosia's protection terms do not apply, and you must confirm this before applying.

9. Company users

Corporate users must accept Company Terms before creating companies or listings. All listings require master admin approval. Verification badges indicate review completed at a point in time, not ongoing endorsement of every future action by the company.

10. Acceptable use

You may not misuse the Platform, scrape data unlawfully, post false listings, harass users, circumvent fees, or use the Platform for unlawful purposes. We may remove content and report violations to authorities.

11. Intellectual property

Platform branding, software, and materials provided by Astrosia remain our property or our licensors'. Preparation materials shared for an opportunity may be used only for that opportunity and must not be redistributed without permission.

12. Disclaimers

The Platform and all content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

Astrosia disclaims liability for acts or omissions of Empaneling Companies, candidates, interview no-shows, payment disputes between parties on company-direct engagements, and force majeure events.

13. Limitation of liability

To the maximum extent permitted by applicable law, Astrosia Technologies LLP, its partners, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to the Platform or any engagement, whether in contract, tort, or otherwise.

Our aggregate liability for any claim arising from these Terms or use of the Platform shall not exceed the greater of (a) amounts you paid to Astrosia for Platform services in the three months before the claim, or (b) INR 5,000, except where liability cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Astrosia from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your applications or engagements, misclassification disputes, tax non-compliance, or content you submit.

15. Governing law and disputes

These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived. We may seek injunctive relief in any competent court.

16. Changes

We may update these Terms. Material changes will be reflected on this page with an updated date. Continued use after changes constitutes acceptance where permitted by law.
